Terms and Conditions of use

1. Definitions 

In this agreement, unless the context clearly indicates a contrary intention, the words defined below shall have the following meanings assigned to them, and similar expressions shall bear corresponding meanings:
 
"Website" means all websites set up by Professional Services Online or in conjunction with a partner to provide products and services to Clients.
"Product" means any physical item, supplied through any of the Professional Services Online websites.
"Services" means any information, intellectual property and support services supplied through any of the Professional Services Online websites or support services. 
"Intellectual property" means all content, information, documents and files provided by Professional Services Online, whether through a website or support services.
"Professional Services Online" means Professional Services Online (Pty) Limited, a company incorporated in Australia, and all directors, employees, subsidiaries and partners of that company.
"User" means a user of Professional Services Online products, services and any other information whatsoever. 

2. Using of Professional Services Online

 2.1 These are the standard terms and conditions of Professional Services Online, a provider of product, services, and intellectual property to organizations globally. These terms and conditions apply to all and every product and service provided by Professional Services Online through its websites and other services. Use of the Professional Services Online website implies acceptance of these terms and conditions, where no purchase has been made.

2.2 The agreement constitutes the entire agreement between Professional Services Online and the User.

2.3 By accessing or using any Professional Services Online products, services or websites in any way, without limitation, the User agrees to, and is bound by these terms and conditions.

2.4 The User acknowledges Professional Services Online is an independent provider of toolkits, information and advice. Any other representations on behalf of Professional Services Online shall be void.

2.5 Should any of these terms and conditions become invalid, unenforceable or illegal, the remainder shall be unaffected.

2.6 Professional Services Online reserves the right to update these terms and conditions without notice to the User. The User's usage of any Professional Services Online website and/ or its contents will be subject to the most current version of these terms and conditions.

2.7 It is the Users's responsibility to carry out assignments/ projects and ensure adequate resources with the requisite level of skill are used on these assignments. The responsibility of staffing, managing and delivering results lies entirely with the User.

2.8 Decisions with respect to the Users business are the responsibility of the User. Professional Services Online will not make any decisions relating to the Clients business. All information included in Professional Services Online is based on assumptions which may, or may not be relevant to the User.

2.9 Professional Services Online reserves the right to update the content of its websites on a regular basis with new versions or updates.

2.10 Professional Services Online is committed to protecting the privacy of Users. Professional Services Online is bound by the Federal Privacy Act and is subject to the National Privacy Principles included therein.
 

3. User obligations

3.1 In using the Professional Services Online websites, the User agrees not to disrupt or interfere with the security or otherwise cause harm to the website, servers, networks connected or accessible through, system resources, passwords, accounts of Professional Services Online or its partners.

3.2 The User also agrees not to post or otherwise transmit through any website any harmful or destructive files, not to create a false identity or attempt to use another users account, password, system or service without authorization from Professional Services Online.

4. Copyright and Intellectual Property

4.1 Unless otherwise agreed, Professional Services Online retains copyright in all material, content, information, documents and files provided on this website.

4.2 The products and services of Professional Services Online, as well as their selection and arrangement are protected by copyright, trademark and other intellectual property laws and as such, unauthorized use of these will violate such laws and the terms and conditions of usage.

4.3 Except as expressly provided herein, Professional Services Online and its partners do not grant any express or implied rights to use the products and services. The Client agrees not to copy, republish, frame, transmit, modify, rent, lease, loan, sell, assign, distribute, license, sub-license, reverse engineer, or create derivative works based on any of the Professional Services Online products or services, except as expressly authorized herein. In addition, the Client agrees not to use any data mining, robots, or similar data gathering and extraction methods in connection with the Professional Services Online websites.

5. Limitation of Liability

5.1 Professional Services Online is not responsible for any loss, damages, costs or expenses or any other claims in any way whatsoever which may occur as a result of using the website. Professional Services Online accepts no liability whatsoever. Users should review and make decisions based on their own independent assessment of the facts and the specific requirements of their situation.
